Congratulations! Known for its business-friendly environment, Singapore is a global hub for innovation and entrepreneurship. However, ensuring compliance with local laws and regulations is crucial to the success and sustainability of your startup. Here&#8217;s what you need to know:<\/p>\n\n\n\n<p><strong>1. Business Registration<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Register your company with the Accounting and Corporate Regulatory Authority (ACRA).<\/li>\n\n\n\n<li>Choose the right business structure (e.g., sole proprietorship, partnership, private limited company).<\/li>\n<\/ul>\n\n\n\n<p><strong>2. Employment Compliance<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Follow the Employment Act for work passes and fair labour practices.<\/li>\n\n\n\n<li>Ensure timely contributions to the Central Provident Fund (CPF) and Skill Development Levy (SDF) for employees.<\/li>\n\n\n\n<li>Provide statutory benefits (e.g., annual leave, medical leave, overtime pay, maternity benefit).<\/li>\n<\/ul>\n\n\n\n<p><strong>3. Tax Obligations<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>File annual corporate tax returns with the Inland Revenue Authority of Singapore (IRAS).<\/li>\n\n\n\n<li>Register for Goods and Services Tax (GST) if annual revenue exceeds S$1 million.<\/li>\n\n\n\n<li>Maintain records of all financial transactions and documents for at least five years.<\/li>\n\n\n\n<li>Comply with <a href=\"https:\/\/www.isca.org.sg\/standards-guidance\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Singapore Financial Reporting Standards<\/a>.\u00a0<\/li>\n<\/ul>\n\n\n\n<p>As a new start-up you can enjoy tax exemptions by keeping your company\u2019s FYE within 365 days. (75% tax exemption on the first SGD 100,000 of normal chargeable income and an additional 50% tax exemption on the next SGD 100,000 of normal chargeable income for its first three consecutive YA).<\/p>\n\n\n\n<p>For ease of business the IRAS has introduced tax exemption scheme for start up companies which they can enjoy for their first 3 assessment years. For further details please refer to <a href=\"https:\/\/www.iras.gov.sg\/taxes\/corporate-income-tax\/basics-of-corporate-income-tax\/corporate-income-tax-rate-rebates-and-tax-exemption-schemes#tax-exemption-scheme-for-new-start-up-companies\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">IRAS-website<\/a>.<\/p>\n\n\n\n<p>While tax exemptions provide great benefits to startups, they do come with some limitations.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Duration: The tax exemption benefits are available only for a specified period (normally three years). After that, the benefits are gradually reduced.<\/li>\n\n\n\n<li>Shareholding changes: Altering the shareholding structure could impact the startup&#8217;s eligibility for tax exemption.<\/li>\n\n\n\n<li>Cessation of CIGAs: If the startup ceases its qualifying core activities, the tax exemption might be affected.<\/li>\n<\/ul>\n\n\n\n<p>Thus, planning for the transition to regular taxation is crucial. This can be done by assessing the financial impact of increased tax liability and making necessary adjustments to the business&#8217;s financial strategies.<\/p>\n\n\n\n<p><strong>4. Data Protection<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Comply with the Personal Data Protection Act (PDPA).<\/li>\n\n\n\n<li>Obtain consent before collecting or using personal data.<\/li>\n\n\n\n<li>Implement and communicate clear privacy policies.<\/li>\n<\/ul>\n\n\n\n<p>For details please refer to <a href=\"https:\/\/www.pdpc.gov.sg\/overview-of-pdpa\/the-legislation\/personal-data-protection-act\/data-protection-obligations\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Data Protection Obligations under PDPA<\/a>.<\/p>\n\n\n\n<p><strong>5. Industry Licenses &amp; Permits<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Check if your business requires specific licenses (e.g., Fintech, F&amp;B, retail, healthcare etc.)<\/li>\n\n\n\n<li>Apply for and renew licenses through relevant government agencies like MAS, Health Sciences Authority etc.<\/li>\n<\/ul>\n\n\n\n<p><strong>6. Annual Filing and other compliance requirements under the Companies Act<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>File annual returns and financial statements with ACRA.<\/li>\n\n\n\n<li>Hold annual general meetings (AGMs) if applicable.<\/li>\n\n\n\n<li>Maintain proper records for audits and inspections and update accordingly.<\/li>\n<\/ul>\n\n\n\n<p><strong>7.
