MCA informs companies to file Form GNL-2, MGT-14, PAS-3, SH-8, SH-9, SH-11 in physical mode from 22nd February, 2023 to 31st March, 2023

the Ministry of Corporate Affairs (“MCA”) has informed that companies intending to file the following forms on the MCA-21 portal from 22nd February 2023 to 31st March 2023 can file such forms in physical mode duly signed by the persons concerned as per requirements along with a copy in electronic media, with the concerned Registrar without payment of fee, and with the receipt of acknowledgement (as per the Annexure to this Circular).

1. Form GNL-2 (filing of prospectus related documents and private placement)

2. MGT-14 (filing of Resolutions relating to prospectus related documents, private placement)

3. PAS-3 (Allotment of Shares)

4. SH-8 (letter of offer for buyback of own shares or other securities)

5. SH-9 (Declaration of Solvency)

6. SH-11 (Return in respect of buy-back of securities)

In addition to the physical filing with the concerned Registrar, the company must provide an undertaking that it will file the relevant Forms in electronic mode on the MCA-21 Portal along with the fee payable as per the Companies (Registration Offices and Fees) Rules, 2014.
