NSE & BSE clarifies on use of digital signature certificate by listed companies while submitting announcements

With a view to bring in further clarity around  the use of Digital Signature Certificate (“DCS”) for announcements submitted by listed companies to Stock Exchanges, both the National Stock Exchange of India (NSE) and Bombay Stock Exchange (BSE) have rolled out Guidance Notes Which essentially clarifies on the following aspects:

  • Applicability of the previous circulars on use of digital signature certificate for announcements submitted by listed companies (NSE/CML/2022/39 dated 2nd August, 2022 and 20220801-24 dated 1st August, 2022)
  • The coverage of the filings and submissions.
  • Examples of non-admissible signatures.
  • Clarity around whether filing a scanned document/ disclosure will be considered as compliance.
  • How to confirm if a pdf is machine readable before filing.
  • Whether listed companies can submit scanned documents/ disclosures post affixing DSC.
  • What happens when a listed company submits a disclosure that contravenes the previous Circular.
